1. Acceptance of Terms

By creating an account or using SampleLedger (“the Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

SampleLedger is a textile sampling workflow platform that allows manufacturers and traders to manage fabric sample records, color variants, QR-enabled sticker generation, and related operations. The Service is provided on a subscription basis and is intended for business use.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately at support@sampleledger.com of any unauthorized access or use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Upload or transmit any content that is infringing, defamatory, or harmful.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated means to scrape, crawl, or extract data from the Service.
• Resell, sublicense, or redistribute the Service without prior written consent.

5. Subscription and Billing

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice to existing subscribers.

6. Data Ownership

You retain ownership of all data, content, and materials you submit to the Service (“Your Data”). By using the Service, you grant SampleLedger a limited, non-exclusive license to host, store, and process Your Data solely to provide and improve the Service. We do not sell Your Data to third parties.

7. Intellectual Property

The Service, including its design, software, and content (excluding Your Data), is owned by SampleLedger and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you. You may not copy, modify, or distribute any part of the Service without our express written permission.

8. Availability and Uptime

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled or emergency maintenance that temporarily limits access. We are not liable for any loss arising from Service interruptions.

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or engage in conduct we determine to be harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. We may retain Your Data for up to 30 days following termination before deletion.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, SampleLedger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts located in India.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
